If you owe money to creditors and you are unable to reach an agreement, your business may be exposed to serious legal action, such as a winding up petition. If granted by the court, a winding up order could lead to compulsory liquidation. If you wish to voluntarily close your limited company, a Creditors’ Voluntary Liquidation (CVL) is a formal insolvency procedure that may be suitable. The insolvency practitioner will aim to maximise value during the process to protect creditor interests and any remaining debts may be written off. Your company will then cease trading and be removed from the Companies House register.

Closing a viable limited company consists of distributing retained profits to creditors. If your business is cash-rich, solvent, and therefore able to settle liabilities within 12 months, a Members’ Voluntary Liquidation (MVL) may be appropriate. An MVL is a formal liquidation process suitable for healthy businesses with retained earnings of £25,000 or more for the route to be cost-efficient.
