There are several different forms of liquidation in the UK and the difference between them can matter a great deal from the perspective of company directors.

Compulsory liquidation is the most common form of liquidation and it usually happens because a creditor has pursued a winding up petition against a debtor company and they’ve been shown to be insolvent. This scenario requires the Official Receiver to get involved and conduct an investigation into the liquidated company’s affairs.

From a company director’s perspective, it is generally much better to retain as much control as you can in an insolvency situation and enter a Creditors’ Voluntary Liquidation (CVL) to avoid seeing matters taken entirely out of your hands.

A third form of liquidation to know about is referred to as a Members’ Voluntary Liquidation (MVL), which is a tax-efficient and straightforward means of liquidating a solvent business.
